PUBLIC OFFER AGREEMENT

for ordering, purchase and sale, and delivery of goods

This Agreement constitutes an official and public offer by the Seller to enter into a purchase and sale agreement for Goods presented on the website dpmge.com. This Agreement is public, meaning that its terms and conditions are the same for all Buyers regardless of their status (individual, legal entity, or individual entrepreneur), without giving preference to any Buyer over another. By entering into this Agreement, the Buyer fully accepts the terms and procedures for placing an order, payment for Goods, delivery, return of Goods, liability for improper orders, and all other terms of this Agreement. The Agreement shall be deemed concluded from the moment the Buyer confirms the order on the website and receives an electronic order confirmation from the Seller.

1. Definitions

1.1. Public Offer (hereinafter referred to as the “Offer”) means a public proposal by the Seller addressed to an indefinite number of persons to enter into a distance purchase and sale agreement with the Seller (hereinafter referred to as the “Agreement”) under the terms and conditions contained in this Offer.

1.2. Goods or Services mean the subject matter of the transaction between the Parties selected by the Buyer on the Online Store website and placed in the shopping cart, or already purchased by the Buyer from the Seller remotely.

1.3. Online Store means the Seller’s website at dpmge.com, created for entering into retail and wholesale purchase and sale agreements based on the Buyer’s review of the Goods offered by the Seller via the Internet.

1.4. Buyer means a legally capable individual who has reached the age of 18, a legal entity, or an individual entrepreneur placing an order on the Online Store website.

1.5. Seller means INDIVIDUAL ENTREPRENEUR RUSLAN MYKOLAIOVYCH MAKHOVYKH, Taxpayer Registration Number (RNOKPP) 3075510013, registered address: 12 Martynova Avenue, Sofiivska Borshchahivka, Kyiv Region, 08156, Ukraine.

2. Subject of the Agreement

2.1. The Seller undertakes to transfer the Goods into the ownership of the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.

2.2. The date of conclusion of this Offer Agreement (acceptance of the Offer) and the moment of the Buyer’s full and unconditional acceptance of its terms shall be the date on which the Buyer places an order on the Online Store website, provided that the Buyer receives electronic confirmation of the order from the Seller. At the Buyer’s request, the Agreement may be executed in writing.

3. Placing an Order

3.1. The Buyer independently places an order through the Online Store shopping cart or by email or telephone using the contact details specified on the Online Store website.

3.2. The Seller has the right to refuse to fulfil an order if the information provided by the Buyer when placing the order is incomplete or gives reasonable grounds to doubt its accuracy.

3.3. When placing an order, the Buyer shall provide the information necessary to fulfil the order: surname and first name/company name; delivery address, if required; contact telephone number; and, for a legal entity or individual entrepreneur, identification details where required for issuing documents.

3.4. The name, quantity, product code and price of the Goods selected by the Buyer are indicated in the Buyer’s shopping cart on the Online Store website.

3.5. If either Party requires additional information, it may request such information from the other Party. If the Buyer fails to provide the necessary information, the Seller shall not be liable for the inability to properly fulfil the order.

3.6. The Buyer is responsible for the accuracy of the information provided when placing the Order.

3.7. By placing an Order, the Buyer confirms that they have read and accepted the terms of this Offer and consents to the processing of personal data to the extent necessary for the performance of this Agreement in accordance with the Law of Ukraine “On Personal Data Protection”.

4. Price, Payment and Delivery of Goods

4.1. Prices for Goods and services are determined independently by the Seller and indicated on the Online Store website in Ukrainian hryvnias. The Seller is an individual entrepreneur; where VAT is not applicable to a particular product or transaction, the price is stated without VAT.

4.2. Prices may be changed unilaterally by the Seller. The price of Goods already paid for in full by the Buyer may not be changed unilaterally.

4.3. Unless otherwise expressly stated during checkout, the delivery cost is not included in the price of the Goods and is paid according to the rates of the selected delivery service.

4.4. The Buyer’s payment obligation shall be deemed fulfilled when the funds are credited to the Seller’s account or when successful payment is confirmed by the payment service provider.

4.5. Payments are made using the methods available on the Online Store website, including cashless payments and payments through connected payment services.

4.6. Upon receipt of the Goods, the Buyer shall check their name, quantity, completeness, external condition and, where applicable, expiration date.

4.7. Ownership and the risk of accidental loss or damage to the Goods shall pass to the Buyer in accordance with the conditions of transfer of the Goods and applicable Ukrainian law.

5. Rights and Obligations of the Parties

5.1. The Seller shall transfer the Goods to the Buyer in accordance with this Agreement and the Buyer’s order and shall not disclose the Buyer’s private information except where required by law or necessary for fulfilment of the Order.

5.2. The Seller has the right to amend the terms of this Agreement and the prices of Goods and services by publishing the relevant changes on the website. Changes shall take effect upon publication unless otherwise specified by the Seller.

5.3. Before entering into the Agreement, the Buyer shall familiarize themselves with the contents of the Agreement, the purchase conditions and prices and provide sufficient information for fulfilment of the order.

6. Return of Goods

6.1. Returns and exchanges of Goods of proper quality shall be carried out in the cases and according to the procedure established by applicable Ukrainian law, provided that the Goods retain their marketable appearance, consumer properties, packaging, seals, labels and proof of purchase. The list of Goods that are not subject to exchange or return is determined by Ukrainian law.

6.2. Refunds shall be made within the time limits and by the methods provided for by applicable Ukrainian law, taking into account the original payment method and the rules of the relevant payment service provider or bank.

6.3. The costs associated with returning Goods of proper quality shall be borne by the Buyer unless otherwise provided by law or separately agreed with the Seller.

6.4. If defects in the Goods are discovered, the Buyer has the right to submit claims provided for by applicable Ukrainian law.

6.5. The Seller shall not be liable for defects in the Goods arising after their transfer to the Buyer as a result of violation of the rules of use or storage, actions of third parties, or force majeure circumstances.

6.6. Goods shall be returned to the address or in the manner agreed with the Seller through the contact details specified on the website.

7. Liability

7.1. The Seller shall not be liable for damage caused as a result of improper installation, use or storage of the Goods.

7.2. The Seller shall not be liable for improper or delayed fulfilment of an Order where the Buyer has provided inaccurate or incorrect information.

7.3. The Parties shall be liable for the performance of their obligations in accordance with applicable Ukrainian law and the provisions of this Agreement.

7.4. The Parties shall be released from liability for full or partial failure to perform their obligations if such failure results from force majeure circumstances, including war, hostilities, fire, flood, earthquake or other circumstances beyond the control of the Parties.

8. Confidentiality and Personal Data Protection

8.1. By providing personal data on the website when placing an Order, the Buyer gives the Seller consent to process such data to the extent necessary for the performance of this Agreement and compliance with Ukrainian law.

8.2. The Seller undertakes not to disclose information received from the Buyer, except for disclosure to contractors and third parties to the extent necessary to fulfil the order, process payment, arrange delivery or comply with applicable law.

8.3. The Buyer is responsible for ensuring that the information provided is accurate and up to date.

9. Other Terms

9.1. This Agreement is concluded in Ukraine and is governed by the applicable laws of Ukraine.

9.2. Disputes between the Buyer and the Seller shall be resolved through negotiations. If the Parties fail to reach an agreement, the dispute shall be resolved in accordance with the procedure established by Ukrainian law.

9.3. The Seller has the right to amend this Agreement by publishing a new version on the Online Store website.
